Voluntary Administration

WHAT IS VOLUNTARY ADMINISTRATION?

Voluntary Administration is an insolvency process that gives company directors a chance to save their company and the underlying business.

If a company cannot pay its debts as and when they fall due, the directors should appoint a Voluntary Administrator to avoid becoming personally liable for the company’s debts. The appointment of a Voluntary Administrator will suspend all creditor recovery actions which will give the directors and or shareholders time to formulate a restructuring plan.

The appointment of a Voluntary Administrator will also allow trading operations to continue whilst a restructuring plan can be put in place.

Following the appointment of a Voluntary Administrator there are 3 possible outcomes:

  1. ASSESS ALL OPTIONS AND FORMULATE A PLAN TO SAVE THE COMPANY

A Voluntary Administrator will assess all options to save the company. The administrator will then prepare a report to creditors and make a recommendation as to which option is in their best interests to accept.

  1. ASK CREDITORS TO ACCEPT A DEED OF COMPANY ARRANGEMENT

The directors or shareholders can put forward a plan to save the company in the form of a Deed of Company Arrangement (DOCA). A DOCA is a formal agreement between the company and its creditors and is subject to approval by creditors. The creditors might agree to compromise their debt and allow the company to continue to trade into the future. Creditors might consider that it is best to continue to trade with the company so they can make back their losses through future trading opportunities.

    LIQUIDATION

If the business cannot be saved through a Deed of Company Arrangement, or one isn’t put forward and approved by creditors, then at the end of the administration period, the company will most likely be wound up. For more information on company liquidation, visit our liquidation page here.
